ARTICLES OF INCORPORATION OF ASSOCIATION OF UNIVERSITY PROFESSORS OF NEUROLOGY, INC.

FIRST: That we, the subscribers, WILLIAM D. MACMILLAN, LAWRENCE PERIN and WILLIAM A. FISHER, JR., the Post Office address of each of whom is 10 Light Street (17th floor), Baltimore, Maryland 21202, all being at least twenty-one years of age, do under and by virtue of the General Laws of the State of Maryland authorizing the formation of corporations, hereby associate ourselves with the intention of forming a corporation.

SECOND: The name of the Corporation (which is hereinafter called the "Corporation") is:
                                      ASSOCIATION OF UNIVERSITY PROFESSORS
                                                      OF NEUROLOGY, INC."

THIRD: The Corporation is organized and shall be operated exclusively for the promotion of medical education, research and patient care, particularly with respect to Neurology. To accomplish these purposes, the Corporation will provide a forum for discussion of problems and for development of mutual interests and concerns to Heads or Chairmen of Departments or Divisions of Neurology in accredited medical schools in the United States. The Corporation will provide liaison between Heads and various individuals and organizations whose activities bear on the purposes of the Corporation. It will take other actions as deemed desirable and necessary by the Corporation to accomplish its purposes.
No part of the net earnings or net income of the Corporation shall inure to the benefit of any private shareholder, member or Trustee, nor to any individual other than for services rendered. No substantial part of the activities of the Corporation shall consist of carrying on propaganda or otherwise attempting to influence legislation. The Corporation shall not participate in or intervene in (including the publishing or distributing of statements) any political campaign on behalf of any candidate for public office.

FOURTH: In order to accomplish the foregoing purposes, the Corporation shall have power:

  1. to acquire, accept, receive, hold and administer, for its said objects and purposes, by bequest, devise, grant, gift, purchase, exchange, lease, transfer, fee, subscription, dues, or otherwise, from any person, firm or corporation, money and any property, both real and personal, of whatever kind, nature and description,...
